LLC Tennessee.org forms Tennessee LLCs for a $199 service fee plus Tennessee's state fees, with the first year of Tennessee registered agent service included.
Our formation fee includes:
Tennessee LLC formation: $199 our fee + $300 Tennessee state filing fee = $499 due today. The first year of registered agent service is included; it renews at $99/year after 12 months.
Foreign registration into Tennessee (for a company formed in another state): $199 our fee + $300 Tennessee state fees = $499. The first year of registered agent service is included.
EIN (federal tax ID) application: $99. The IRS charges no fee for an EIN. Founders with no SSN or ITIN add $99 for international processing.
State fees are shown separately from our fee. We collect them with your order and pay them to the state at cost when we file.
Every Tennessee LLC files an annual report with the Secretary of State (Tenn. Code Ann. § 48-249-1017). Two things about it routinely get reported wrong elsewhere: the fee is not a flat $300, and the deadline is not a fixed calendar date for everyone. The fee is $50 per member with a $300 minimum, and the due date keys off your LLC's fiscal year. This report is also separate from the franchise and excise taxes paid to the Department of Revenue. For everything else after formation, see the after-formation guide; for setup, see how to form a Tennessee LLC.

Every Tennessee LLC must maintain a registered agent and a registered office under Tenn. Code Ann. § 48-249-109. The agent is the state's designated contact point for your LLC: lawsuits, official notices, and Secretary of State correspondence all route through that address. You name the agent on your Articles of Organization during the formation process, and the designation stays live for as long as the LLC exists.
Standard Tennessee processing for a new LLC takes 1 business day after we file.
State processing times are set by the state and can change.
Registered agent service renews automatically for another year on each renewal date, unless you turn off auto-renewal or cancel in your online account, or give written notice at least 30 days before the renewal date. Renewal reminders go out about 60 days ahead.
You can cancel at any time from your online account or by contacting support. Cancelling does not by itself remove us as registered agent on the state record; a change of registered agent or resignation filing does that.
Anything already filed with the government is not refundable. Registered agent fees are not refundable once we or our partner have been appointed with the state. State fees are not refundable once paid to the state.

$20 with Form SS-4534, or $20 added to your annual report if you make the change there. Switching to our service is $99 per year with no charge from us for handling the paperwork.
The report is due on or before the first day of the fourth month following the close of your LLC's fiscal year. For calendar-year LLCs, which close in December, that means April 1. The filing window opens the first day of the month after your fiscal year closes, so calendar-year filers can submit from January onward. If you never told the state your fiscal year close, the Division defaults it to December, which puts you on the April 1 track. April 1 feels like a fixed statewide date only because nearly every LLC uses the calendar year; an LLC with a June fiscal close would instead owe its report by October 1. Your first report follows the same rule. A calendar-year LLC formed in June 2025 closed its first fiscal year in December 2025, so its first report came due April 1, 2026.
No. The statute requires a street address, county included, where the agent can be reached in person during business hours. A PO box fails that test.
Yes. Your first year of Tennessee registered agent service is included with the formation. After 12 months it renews automatically at $99/year unless you turn off auto-renewal or cancel in your online account.
