Tennessee LLCs file an annual report with the Secretary of State, and the fee is $300 at minimum, up to a maximum of $3,000. The fee goes up by $50 for every member over 6.
The report is due on the first day of the fourth month after the close of the LLC's fiscal year (T.C.A. ยง 48-249-1017). The articles default the fiscal year to December, which makes the deadline April 1.
| Item | Fee | Deadline |
|---|---|---|
| Annual report | $300 minimum, $3,000 maximum | April 1 (December fiscal year) |
| Each member over 6 | + $50 | |
| Late fee | None listed | |
| Not filed on time | May be administratively dissolved | |
| Reinstatement (Form SS-9410) | $70 + tax clearance | After dissolution |
The Secretary of State's FAQ says an entity that fails to file its annual report on time may be administratively dissolved and placed in inactive status. No separate late fee is listed. To reinstate you file the Application for Reinstatement Following Administrative Dissolution/Revocation (Form SS-9410), which costs $70, and you need tax clearances from the Department of Revenue. We could not confirm whether back reports are also due.
Forming a new Tennessee LLC? Our formation is $199 plus the $300 state fee, passed through at cost, and your first year of registered agent service is included (then $99 a year), with a reminder before April 1.
